Welcome to AutoCoHost. These Terms and Conditions ("Terms") govern your access to and use of the AutoCoHost website, applications, and services (the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

AutoCoHost provides AI-assisted analysis, monitoring, and recommendations for short-term rental ("STR") listings. The Service includes a free listing analyzer and a paid subscription that delivers ongoing pricing, messaging, and listing recommendations.

The Service is provided "as is." Recommendations are advisory. You are solely responsible for decisions you make about your listings, pricing, guests, and bookings.

2. Eligibility & Accounts

You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.

3. Subscriptions, Billing & Payments

Paid subscriptions are billed by our payments processor, Paddle.com Market Limited and its affiliates ("Paddle"), who acts as the Merchant of Record. By subscribing, you also agree to Paddle's Checkout / Buyer Terms.

• Subscriptions renew automatically each billing period until cancelled.
• Prices are listed in USD unless otherwise specified. Applicable taxes are added at checkout and remitted by Paddle.
• You may cancel at any time from your account. Cancellation takes effect at the end of the current billing period.
• Refunds are governed by our Refund Policy.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any third-party platform's terms (including Airbnb, Vrbo, or Booking.com).
• Attempt to reverse engineer, scrape, or copy the Service or its underlying models.
• Resell, sublicense, or otherwise commercialize access to the Service without written permission.
• Submit content that is illegal, harassing, deceptive, or infringes the rights of others.
• Interfere with the operation, security, or integrity of the Service.

5. Your Content

You may submit listing URLs, property details, calendar information, guest messages, and similar content ("Your Content"). You retain all rights to Your Content. You grant AutoCoHost a worldwide, non-exclusive, royalty-free license to use Your Content solely to operate, improve, and provide the Service to you.

Public listing data we retrieve (e.g., from Airbnb URLs you submit) is used solely to deliver the Service to you and is handled in accordance with our Privacy Policy.

6. AI Outputs

The Service uses large language models to generate analyses, drafts, and recommendations. AI outputs may contain inaccuracies. You should review all outputs before acting on them. AutoCoHost makes no guarantees regarding occupancy, revenue, ranking, or any other business outcome.

7. Intellectual Property

The Service, including all software, models, designs, and content (other than Your Content), is owned by AutoCoHost or its licensors and is protected by intellectual property laws. We grant you a limited, non-transferable, revocable license to use the Service for your own STR operations during your active subscription.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that recommendations will produce specific results.

9. Limitation of Liability

To the maximum extent permitted by law, AutoCoHost will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim or (b) US $100.

10. Indemnification

You agree to indemnify and hold AutoCoHost harmless from any claims, damages, or expenses arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if your account becomes inactive for an extended period. Upon termination, your right to use the Service ends; sections that by their nature should survive (including IP, disclaimers, limitations of liability, and dispute resolution) will continue.

12. Changes to the Service or Terms

We may modify the Service and these Terms from time to time. Material changes will be communicated by email or prominent notice on the Service at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Where applicable consumer law grants you rights that cannot be waived, those rights apply.
